The Competition Authority has been reviewing a merger involving the acquisition by Skógarsalir ehf. (hereinafter "Skógarsalir") of the operations and assets of Loftorka í Borgarnesi ehf. (hereinafter "Loftorka"). Loftorka is a comprehensive manufacturing and contracting company in the field of civil engineering, specialising in precast concrete elements. Skógarsalir is a limited liability company owned by Steypustöðin ehf. (hereinafter "Steypustöðin"), which is engaged in the production of concrete for use in construction. In addition, the company manufactures and sells, amongst other things, paving slabs and units, and operates a builders' merchant.
In the course of its investigation, the Competition Authority has obtained various documents, and has also utilised data from previous investigations into related markets. The Competition Authority has also held discussions with representatives of the merging parties and other parties connected to the relevant markets, and the decision refers to this to the extent that the Competition Authority considers the information or views of these parties to be relevant to the outcome of the case.
Negotiations between the Competition Authority and the merging parties have led to them entering into a settlement in the case under Article 17. Article 17(f) of the Competition Act No. 44/2005 and Article 22 of the Rules of Procedure of the Competition Authority No. 880/2005. The settlement involves the imposition of conditions intended to remove any barriers to competition that might arise from the merger.
