The Competition Authority took a position on the merger of Terra einingar ehf. and Öryggisgirðingar ehf. Terra is a wholly-owned subsidiary of Terra umhverfisþjónusta hf. The merger register states that Terra's operations consist of the sale and rental of modular units and container solutions. Terra Environmental Services offers a comprehensive range of environmental services, including container collection, the collection of hazardous and electronic waste, document destruction, and the hire of specialised containers, skips, and barrels. Safety Fencing was established in 2003 and its registered purpose is contracting, retail and wholesale, the purchase and sale of property, and their operation. The company offers fencing materials and gates, and its products include car park gates, railings, pedestrian gates and cycle shelters. The companies therefore operate in different markets, but in the opinion of the Competition Authority, nothing has emerged during the investigation of the case that gives cause to define the relevant markets differently from how the merging parties have considered and as has been done in previous decisions of the Competition Authority. As there is no overlap in the activities of the merging parties or companies within their group, nor is the purchaser acquiring the business of a company that produces and/or sells inputs for the other's activities, this constitutes neither a horizontal nor a vertical merger. It is therefore clear that Terra's investment and acquisition of Öryggisgirðingar constitutes a merger in competition law terms. The Competition Authority has concluded that there are no indications that the merger will prevent effective competition. For these reasons, the Authority sees no reason to take action regarding this merger. |
