The Competition Authority examined Pennann's acquisition of the 100% shareholding in HB Wholesale. The Competition Authority's assessment was that the merging parties operate to a limited extent in the same market and that, as a result, the merger would lead to negligible horizontal concentration in the relevant markets. It was therefore clear to the Authority that the merger would not significantly increase the companies' market share or lead to any other distortion of competition. Furthermore, the Authority considered that there were no significant barriers to entry beyond those which are common in the market, and that parallel imports were possible.
