The EU Commission is investigating a possible breach of merger rules

Framkvæmdastjórn Evrópusambandsins hefur hafið rannsókn á
því hvort að líftæknifyrirtækin Illumina og GRAIL hafi brotið í bága við bann
samrunareglugerðar Evrópusambandsins við því að samruni komi til framkvæmdar
áður en rannsókn er lokið.

Forsaga málsins er sú að 19. apríl 2021 samþykkti framkvæmdastjórnin að taka fyrir beiðnir nokkurra samkeppniseftirlita í Evrópu ,
þ.á.m. Samkeppniseftirlitsins, vegna fyrirhugaðs samruna Illumina og GRAIL. Beiðnirnar
voru gerðar vegna mögulegrar röskunar samrunans á samkeppni og nýsköpun á
markaði fyrir þróun og markaðssetningu á krabbameinsskimunum byggðum á
DNA-raðgreiningu.

Ásamt Samkeppniseftirlitinu skiluðu systurstofnanir þess í
Belgíu, Frakklandi, Grikklandi, Hollandi og Noregi inn beiðni um athugun til
framkvæmdastjórnarinnar. Þann 22. júlí tók framkvæmdastjórn Evrópusambandsins
svo ákvörðun um að hefja formlega rannsókn á mögulegum skaðlegum áhrifum
samrunans. Í kjölfarið óskaði framkvæmdastjórnin eftir gögnum frá fyrirtækjunum
sem var ekki skilað. Þann 18. ágúst tilkynnti Illumina svo um yfirtöku á GRAIL
þrátt fyrir að rannsókn á samrunanum væri enn í fullum gangi hjá
framkvæmdastjórninni.

Margrethe Vestager, formaður samkeppnisnefndar
framkvæmdastjórnar ESB, segir ákvörðun fyrirtækjanna mikil vonbrigði í
fréttatilkynningu sem framkvæmdastjórnin sendi frá sér.

„Ákvörðun Illumina um framkvæmd samrunans við GRAIL á
meðan rannsókn okkar er enn í gangi er okkur mikil vonbrigði. Fyrirtæki verða
að virða samkeppnislög og regluverkið. Reglan um bið á framkvæmd samruna á
meðan rannsókn stendur yfir er eitt af hryggjarstykkjunum í rannsóknum á
samrunum og við lítum þessi mögulegu brot á henni mjög alvarlegum augum. Af
þeim sökum hefur framkvæmdastjórnin þegar hafið rannsókn á málinu,“
segir
