The Competition Authority approves the acquisition by Samhentra Kassagerðar hf. of part of the business of Kassagerð Reykjavíkur ehf.

The Competition Authority has today decided not to take action regarding the merger of Samhentra Kassagerð hf. and Kassagerð Reykjavíkur ehf.

Following a preliminary assessment by the Competition Authority of the merger, the merging parties decided to amend the underlying purchase agreement by excluding KR's business units for corrugated cardboard and waxed trays from the acquisition, and thus from the merger. The Competition Authority had argued that the merger would distort competition in these specific areas.

Við meðferð málsins veitti Samkeppniseftirlitið samrunaaðilum undanþágu til að framkvæma samrunann. Var þetta gert með með hliðsjón af erfiðri stöðu hins yfirtekna félags og ytri aðstæðna á markaði, m.a. í tengslum við COVID-19. Voru undanþágunni sett tiltekin skilyrði sem miðuðu að því að samkeppni á mörkuðum málsins yrði ekki raskað og auðvelt yrði að vinda ofan af samrunanum yrði hann ógiltur. Á grundvelli þessara skilyrða var sá hluti reksturs KR sem að samrunanum tók að lokum ekki til færður aftur til KR.
