A Discussion on Competition: An Open Forum on the Handling of Merger Cases

Á fundinum mun Jani Ringborg, sérfræðingur hjá
samkeppnisdeild framkvæmdastjórnar ESB, fjalla um rannsókn samrunamála, en
deildin hefur víðtæka reynslu af meðferð samrunarannsókna.

Með nýjum reglum um meðferð samrunamála, sem gildi tóku um
síðustu áramót, voru formfestar breytingar á verklagi við meðferð
samrunamála sem miða að aukinni
skilvirkni, auk þess sem að fyrri reglur voru færðar til samræmis við nýlegar
breytingar á samkeppnislögum. Nánar má fræðast um þessar breytingar here.

Á fyrstu mánuðum þessa árs hefur fengist nokkur reynsla af
beitingu hinna nýju reglna. Til dæmis hafa fyrirtæki í auknum mæli óskað eftir
forviðræðum (e. pre-notification talks) sem ætlað er að bæta undirbúning
samrunamála og auka skilvirkni í meðferð þeirra.

Þá hefur aukin reynsla fengist af skipulögðum stöðufundum við
meðferð mála (e. state-of-play meetings) sem ætlað er að leiða til gagnsærri og
skilvirkari málsmeðferðar.

Í ljósi fenginnar reynslu af hinum nýju reglum boðar
Samkeppniseftirlitið nú til opins veffundar, þar sem öllum áhugasömum er boðið
að taka þátt í opnu samtali og koma á framfæri sjónarmiðum um meðferð
samrunamála og hinar nýju reglur.

Á fundinum mun Jani Ringborg frá framkvæmdastjórn
ESB segja frá því hvernig forviðræður eru nýttar í meðferð samrunamála, hvernig
samrunaaðilar geta liðkað til fyrir rannsókn og hvaða leiðbeiningar
framkvæmdastjórnin getur gefið samrunaaðilum á meðan forviðræðum stendur. Framkvæmdastjórn ESB hefur mikla reynslu af meðferð samrunamála og þeim úrræðum sem um er að ræða, þ.á.m. forviðræðum, en samrunareglur samkeppnislaga sækja fyrirmynd sína til samrunareglugerðar ESB.

Með þátttöku á fundinum gefst stjórnendum fyrirtækja
jafnframt tækifæri til að kynna sér verklag við meðferð samrunamála og hvaða
tækifæri þeir hafa til þess að stuðla að skilvirkri málsmeðferð.

Fundurinn verður sá þriðji í röð umræðufunda um þetta málefni:

    was held on 11 December 2020, but at that meeting a call was made
    after discussions on the draft of new merger rules. The draft had previously been published for review and acquired
    points of view.

It is then appropriate to point out that the Competition Authority recently published
a post on its homepage (

), þar sem meðferð samrunamála hér á landi borin saman við samrunamál í
nágrannalöndum. Þar kemur m.a. fram að málshraði hér á landi er sambærilegur
við málshraða hjá framkvæmdastjórn ESB, þegar búið er að taka tillit til þess
að stór hluti meðferðar hjá framkvæmdastjórninni á sér stað á vettvangi
forviðræðna við samrunaaðila, þ.e. áður en tímafrestir í málinu byrja að líða.

Fundurinn nú verður haldinn í gegnum fjarfundabúnað
og fer fram þriðjudaginn 1. júní nk., kl. 9:00.
